Insight: Banks bristle at breakup call from Sandy Weill

(Reuters) - Sandy Weill has a lot of convincing to do.

The former Citigroup Inc CEO, who was in many ways the architect of the "too big to fail" giant bank system, dropped a bombshell on Wall Street on Wednesday by proposing that universal banks should be broken up because they are too big and complex to manage.

But the idea is hardly resonating with top bankers and dealmakers of the past 20 years.

"I don't buy it," said William Harrison, who was succeeded by Jamie Dimon as chairman and CEO of JPMorgan Chase & Co . "It gets back to management and risk-taking, and you can screw that up at a small bank or a large bank."

Harrison, a Weill contemporary who was instrumental in building JPMorgan into the largest U.S. bank, said in an interview on Thursday that he would hate to see the anger toward bankers lead to a breakup of big banks and the efficiencies they bring to the U.S. financial system.

Other Wall Street sources said the idea is also not new.

During the financial crisis, for example, U.S. regulators asked Citigroup to do an analysis about whether it would make sense to separate its commercial and investment banking operations, a source familiar with the situation said.

But consulting firm Bain & Co, which was hired by Citigroup to do a study, concluded that tax considerations made a breakup inefficient, the source said.

The report, which was kept hush-hush due to the sensitivity of the matter, was not widely circulated even internally at the bank. It couldn't be learned what exactly the tax implications would have been.

Citigroup declined to comment. A Bain spokeswoman and Weill did not respond to requests for comment in time for publication.

Since the crisis many other major U.S. banks have also studied whether breaking up would be a good idea, Wall Street sources said, but have decided to remain in one piece.

Nevertheless, the about-face by Weill has sparked fresh debate about whether big banks should indeed be broken up. A breakup of any of the top Wall Street banks could have far-reaching consequences for investors, corporations, capital markets and consumers.

"Most big bank executives are not in favour of breaking up, and in fact are in violent opposition to it," said Robert Bostrum, a partner at the law firm SNR Denton who was general counsel of housing finance giant Freddie Mac from 2006 until last year.

"I'm not personally convinced that size equals trouble or that size plus activities equals trouble," Bostrum added. "The financial crisis was a 200-year event in the making that would have happened regardless of how big the banks were."

BENEFITS OF BEING BIG

Several Wall Street executives said being big brings many advantages, and pointed to the benefit of having the kind of diverse revenue streams that allowed JPMorgan to absorb major losses from bad bets in its trading business last quarter while still earning money overall.

"Having lived through the 80s and 90s, the reason there was this consolidation in the industry was really because the bigger your balance sheet, the more business you could do," said Peter Vinella, a director at consulting firm Berkeley Research Group.

Vinella, who has helped develop business strategy plans for giant banks since the financial crisis, worked for Dimon and sat in on meetings with Weill when they were all at Citigroup.

Wall Street executives and advisers argued that U.S. banks have to be big and diverse to compete with large European, Asian and Latin American competitors.

Clients also like the wide range of talent and services that they can bring to the table.

"People around the world, like me, for example, need the services of these big integrated investment banks," said the founder of a major private equity firm. "If you try to go backwards, commercial customers will have less access to less good service, with less good prices."

'UNSCRAMBLING THE EGG'

Not everyone agrees. Some experts say a breakup makes sense, especially when considering the values investors are assigning to financial supermarkets compared with rivals that have largely stuck to their knitting.

Shares of Citigroup, Bank of America Corp and JPMorgan trade at less than 8 times 12-month earnings, whereas Wells Fargo & Co and US Bancorp trade at 11 and 12 times earnings, respectively.

Mike Mayo, a bank analyst with CLSA, says he believes Morgan Stanley shares would be worth $32 apiece if the bank were split up into three standalone businesses in securities, wealth management and asset management. Morgan Stanley shares have been trading only around $13, less than half of its tangible book value per share at June 30.

Executives and bankers are stumped by certain questions in such a breakup analysis. For instance, how would a standalone investment bank or its clients be in a better position without access to funding that comes from being part of a diversified company? And what about the costs of untangling integrated systems, some of which were only melded together at a great expense in the past few years?

One former top banking executive, who declined to be named, said "unscrambling the egg" is one of the main difficulties in a breakup scenario - especially when functions like lending to large companies, treasury management and underwriting debt are all interlinked.

SHRINKING BANKS

Richard Kovacevich, who retired as CEO of Wells Fargo at the end of 2009, told Reuters that he also did not agree with Weill's recommendation, made on Wednesday in a CNBC interview.

"There is this conventional wisdom that big is bad or risky," he said. "I don't think there is any evidence that that is the case. Banks fail mainly because of concentration of risk."

The idea advocated by Weill and other "too big to fail" critics would imply a return to a Depression-era rules known as Glass-Steagall, which separated investment banks from banks that took deposits and made traditional loans.

Peter Hagan, a director of Allied Irish Banks and former chairman of Merrill Lynch's U.S. banks, said the ability to trade securities helps a bank manage its own risk and provide risk management services to clients.

Instead of returning to Glass-Steagall, regulators could build in incentives for the industry to deconsolidate on its own and reduce risk. One idea could be to create incentives such as more attractive capital rules for smaller institutions, which could make them more profitable and encourage managements of large banks to break into smaller pieces, he said.

"The point is if you get them down to a reasonable size, where they are not too big to fail, you then have the ability to manage the situation if one of them gets somewhat out of line," Hagan said.

NO VOLUNTEERS

Some banks have been getting smaller. Citigroup, for example, has sold more than 60 businesses and $600 billion in assets since determining in 2009 that about 40 percent of its balance sheet was no longer necessary for its banking operation.

Many bankers say what is most likely to happen is that big banks will continue to shed some parts of their businesses and strengthen their balance sheets -- but that there is no 'big bang' series of break ups.

"We need a good discussion about how these institutions might be simplified and much better regulated," said Bill Isaac, former chairman of the Federal Deposit Insurance Corp, who is now global head of financial institutions at FTI Consulting and sits on the board of Fifth Third Bancorp . Isaac does not advocate a return to Glass-Steagall.

With clamour growing for a solution in the United States, some believe regulators may find a way to enforce even stricter rules.

"It's possible that the government would impose a Glass-Steagall type structure, especially if there's another blowup," said one Wall Street source.

But, he added, "I doubt any bank would voluntarily do it."

Hutchinson Technology Inc. today reported a net loss of $13.9 million, or 59 cents a share, on net sales of $61 million for its fiscal third quarter ending June 24.

As the company previously reported, demand softened in the final five weeks of the third quarter, with average weekly shipments declining by more than 15 percent compared with the quarter's first eight weeks. Fiscal 2012 third quarter suspension assembly shipments totaled 100.1 million, compared with 96.9 million in the preceding quarter.

The net loss for the quarter included:

? A $5.9 million gain on debt extinguishment and $0.4 million of debt refinancing costs related to the exchange offer, tender offers and private offering completed in April;

? $3.6 million of flood-related restoration and operating costs in Thailand; and

? $1.1 million of non-cash interest expense on outstanding debt.

Excluding these items, the company's net loss for the quarter would have totaled $14.6 million or 62 cents a share.

In the preceding quarter, the company reported a net loss of $7.5 million, or 32 cents a share, on net sales of $65.5 million. Excluding certain items, the non-GAAP net loss in the preceding quarter was $11.2 million, or 48 cents a share.

Obama, Romney swap sharp foreign policy criticism

SEATTLE (AP) ? In a rare face-off on foreign policy, President Barack Obama and Republican rival Mitt Romney are swapping sharp criticism but exposing few clear policy differences on key national security matters.

For Romney, who seeks to boost his foreign policy credentials as he begins a high-stakes trip abroad, a lack of specific proposals has exposed him to a flurry of criticism from Obama and his surrogates. Just over three months from Election Day, the president's team has dug in on its efforts to cast the Republican as a national security lightweight while trying to capitalize on Obama's strength on such issues.

Following Romney's speech Tuesday to the Veterans of Foreign Wars convention, Vice President Joe Biden said Romney "reflexively criticizes the president's policies without offering any alternatives."

"When he does venture a position," Biden said, "it's a safe bet that he previously took exactly the opposite position and will probably change his mind again and land in the wrong place ? far out of the mainstream."

Romney's campaign has swatted away that criticism, but it's also shown few signs that the presumptive GOP nominee will offer more specific areas of contrast with Obama when he meets with world leaders overseas. Instead, Romney has continued with broad jabs casting Obama as a timid leader.

"If you do not want America to be the strongest nation on earth, I am not your president," Romney told the veterans group. "You have that president today."

Romney said he would reset Obama's reset with the Kremlin, but he did not elaborate on how. On Afghanistan, he accused Obama of making politically motivated decisions on drawing down U.S. force levels. He said that, if elected, he will call for a review of the transition in Afghanistan ? but with the same goal as Obama of ending U.S. combat operations in 2014.

Romney also said he will restore the U.S.-Israel relationship and make the Jewish state his first foreign destination as president. He said he would increase military assistance to Israel, though the Obama team says the administration has already provided Israel with record levels of security assistance.

The foreign policy fight was expected to continue after Romney arrived in Europe on Wednesday to begin a six-day, three-country tour and Obama pushes on with fundraising events at home. The president was jetting from Seattle, where he raised money Tuesday night, to New Orleans for more fundraisers and a speech to the National Urban League.

In an election year dominated by the economy, it could be the last phase of the campaign focused on foreign policy.

That could be good news for Romney, who polls strongly on the economy but has been unable to cut into Obama's advantage on national security issues. The Obama administration's counterterrorism fight against al-Qaida and especially the killing of Osama bin Laden have undercut longtime Republican efforts to cast Democrats as soft on defense.

An NBC News/Wall Street Journal poll published Tuesday showed Romney leading Obama 43 percent to 36 percent on which candidate is seen as better equipped to improve the economy. But the same poll showed Obama is seen as a better commander in chief, 45 percent to 35 percent. Last week, a CBS News/New York Times poll found 47 percent of voters said Obama would do a better job handling foreign policy, while 40 percent chose Romney.

Romney's overseas trip comes during a notably heated phase of the campaign, although the candidates dialed back their negative attacks over the weekend following Friday's mass shooting in Colorado.

Romney's advisers have said the former Massachusetts governor plans to avoid obvious attacks on the president while overseas, following longstanding tradition that U.S. politicians don't criticize their country's leader while abroad.

From the start, things didn't go according to plan. Romney was greeted in London by a British media report that quoted an unnamed adviser to Romney suggesting that Obama doesn't understand the "Anglo-Saxon" heritage shared by Britain and the U.S.

Romney spokesman Ryan Williams said Wednesday that the quote was untrue. Williams said that if an adviser said that, the aide wasn't reflecting Romney's views.

Even so, Obama dispatched Vice President Joe Biden and strategist David Axelrod to criticize Romney over the comments in the Telegraph. The newspaper quoted the unnamed adviser as saying Romney believes the U.S. relationship with Britain is special because of shared "Anglo Saxon heritage" and that the White House doesn't appreciate that history.

Biden said the comment was "a disturbing" start to Romney's overseas trip.

White House spokesman Jay Carney said an overseas trip Obama took as a candidate in 2008 proved it was possible to adhere to that tradition while still offering substance. Obama kept up his criticism of Republican rival John McCain during that trip, but he avoided direct attacks on President George W. Bush.

"We'll see if that standard continues to apply," Carney said of Romney's trip.

Romney will attend the opening ceremonies of the Olympics in London on Friday night.

Priorities USA Action, a political action committee supporting Obama, released a new television advertisement Wednesday using Romney's tenure running the Salt Lake City Olympics as the basis to attack the Republican.

The ad shows clips of Olympic teams from various countries that Priorities USA Action says Romney has questionable links to, including China, which the ads says gained thousands of jobs through Romney's outsourcing of private sector jobs, and Switzerland, where Romney once kept a bank account.

In London, Romney also has meetings planned with British Prime Minister David Cameron and other top government officials. From there, Romney plans to visit Israel and meet with Prime Minister Benjamin Netanyahu, then wrap up his trip in Poland.

I rent my home. I have a lease that doesn't expire until February/March.

Bank of America has been coming and taking pictures of my house for months to make sure someone is living there. I found this strange.

It has now come to my attention that my house is going into auction on August 8. I have rec'd no official notice, but it is listed on the county clerk website as being on auction August 8.

How do auctions work? When my house foreclosed, the bank bought the house for $100 and left me with the balance of the loan. Is there a possibility that I could pick up the house I rent for a few thousand dollars and own is outright? Am I too late to put in a bid? Has anyone done this to give advice?

I dont' want to move, especially not in 30 days! I love this house. It is perfect size, and in the perfect location.

I am currently freaking out and need any help I can get.

I've heard of auctions that make exceptions for tenant occupancy. It could be that this is your case, or it could be that your landlord has been lax on sharing details and you're in trouble. Or is this the house you once owned? I'm confused. As for buying the house on the cheap, not all that likely. Statistically, most houses auctioned do actually end up selling for close to appraised value.

It wouldn't hurt to ask what it would take for you to get in on the auction, but they usually require advance screening to be sure you have the means and financing in place. It's not uncommon to require bidders to have a certified check for a certain amount in hand to be allowed to even participate in the bidding process. It sounds like the bank actually owns your house now, so I would be wary, contact the bank, and find out exactly what is going on with your tenancy. I'm not a real estate expert, but I think you have a case of justified nervousness.

Who has been cashing your rent checks? I would probably start there and demand some answers. The courthouse is only the auction venue, but they might have some more information for you to go on. I would be calling anyone I could think of for more information, but I hope you have nothing to really worry about. It might be that your lease holds up and you don't have to worry until it's up. __________________

The bank will open the auction at $100. if no one bids then the bank then takes full possession of the home, and in most cases will go the residence that day and change the locks! If someone makes a bid, the bank will not let it go for less than what is owed on the house- or to a pre approved amount for a short sale.

In my case, the case number is 2010. The homeowner knew in 2010 that this house was going into foreclosure and fraudulently signed the lease with me. The only thing I can do at this point is contact the police and the homeowner's attorney about the fraud to get the sale post-poned to buy me more time.

The property manager has another house for sale. I had a similar situation last year, when the homeowner of the house I was renting was filing bankruptcy. It was not an urgent issue like this one, but the property manager transferred my deposit to this house and we moved. I am hoping they will do this again. I searched their site and they do have a similar house in the area I want to be in. I had a backround check done on the property and the homeowner and everything is clear with this one.

It totally stinks. I will be moving next month and I am totally unprepared.

Wow I'm sorry! I have nothing to offer in terms of advice, but that was really lousy of the owners to not at least make you aware at some point. Sounds illegal! I hope everything works out for you. What a pain to have to move unexpectedly like that. I hope you are able to have some recourse. So this guy was collecting rent but not pay the mortgage it sounds like. Wow.

Lizzy, I am so sorry, too. Nightmare situation! I hope you can put it off and find something and everything goes smoothly. I think every renter has this in the back of their minds as a potential scary situation, but to have it actually happen? Oh no! I will be thinking of you with best wishes, prayers, and pixie dust.
